Here are the steps: 1. Vote to dissolve the LLC: The LLC's members should hold a vote to dissolve the LLC. This vote must be recorded in the LLC's meeting minutes. 2. File Articles of Dissolution: After the vote to dissolve the LLC has been taken, you must file Articles of Dissolution with the Georgia Secretary of State. You can file the articles online or by mail. 3. Pay any outstanding taxes or fees: Before the Georgia Secretary of State will accept your LLC's Articles of Dissolution, you must ensure that all taxes and fees have been paid to the Georgia Department of Revenue and the Georgia Secretary of State. You should also obtain tax clearance from the Georgia Department of Revenue. 4. Notify creditors and other interested parties: You must provide written notice of the LLC's dissolution to all creditors and other interested parties, including any customers or vendors with whom you have outstanding contracts. 5. Winding up the LLC: After the Articles of Dissolution are filed, the LLC must wind up its affairs, which includes liquidating assets, settling any outstanding debts and obligations, and distributing remaining assets to members. It is important to note that while Georgia law does not require LLCs to publish a notice of their dissolution, it may be advisable to do so in some cases. Additionally, if your LLC has any outstanding legal disputes, it is important to resolve those before filing for dissolution.
