Conduct a Vote: Before dissolving the LLC, you must hold a vote among the members, with a majority of the voting rights to approve the dissolution. 2. File a Certificate of Dissolution: The LLC must file a Certificate of Dissolution with the Ohio Secretary of State. The Certificate of Dissolution should include the name of the LLC, the date of dissolution, and the reason for dissolution. The filing fee for the Certificate of Dissolution varies depending on the type of LLC. 3. Notify Creditors and Settle Debts: The LLC must settle all debts, liabilities, and obligations before filing for dissolution. It is essential to notify all creditors of the LLC's dissolution and settle any outstanding balances. If there are insufficient assets to pay creditors, you may need to obtain court approval for the LLC's dissolution. 4.
