# What steps do I need to take to dissolve my LLC in Pennsylvania?

To dissolve an LLC in Pennsylvania, the following steps must be taken:

1. Check that all taxes have been paid: Before dissolving an LLC in Pennsylvania, it is important to ensure that all taxes have been paid. This includes state and local taxes, sales taxes, and any other taxes owed.
2. Obtain the consent of members/majority: The LLC's members must agree to the dissolution of the LLC. If the LLC has more than one member, the consent of more than half the members should be obtained.
3. File a Certificate of Dissolution: In Pennsylvania, to dissolve an LLC, the filing of a Certificate of Dissolution must be completed. This document can be filed online with the Pennsylvania Department of State or by mail. The filing fee is $70.
4. Wind up the company's affairs: After the Certificate of Dissolution is filed, the LLC must wind up its affairs. This includes paying off debts and liabilities, distributing assets to members, and terminating any contracts.
5. Notice of Dissolution: Finally, the LLC must provide written notice of its dissolution to all creditors and claimants, including those with contingent or unliquidated claims. The notice must be sent by certified mail, return receipt requested.

It is important to note that there may be additional steps required depending on the circumstances of the LLC's dissolution. For example, if the LLC has employees, it may need to provide notice to them and comply with specific employment laws.

Additionally, creditors and claimants may have the right to object to the LLC's dissolution, and a court may need to resolve any disputes.

It is recommended to consult with an attorney to ensure that all necessary steps are taken and that the dissolution process goes smoothly.
