# What steps do I need to take in order to dissolve my Georgia LLC?

To dissolve a Georgia LLC, you must follow several steps:

1. Hold a meeting of the members or managers of the LLC to discuss the dissolution and obtain a vote to dissolve. This vote must be recorded in the minutes of the meeting.
2. File the Articles of Dissolution with the Georgia Secretary of State's office. The Articles of Dissolution must include the name of the LLC, the date of the vote to dissolve, and a statement that the LLC has paid all debts and liabilities.
3. Notify all known creditors of the LLC of the dissolution. This notice must include a statement that the company is being dissolved, a statement of intent to pay all outstanding debts and liabilities, and a deadline for submitting any claims against the LLC.
4. After the creditor notification period has passed, distribute any remaining assets to members in proportion to their ownership interests. If the LLC has outstanding debt or liabilities, these must be paid before any distributions can be made.
5. File a final tax return with the Georgia Department of Revenue.

It is important to note that failure to follow these steps correctly can result in personal liability for the LLC's debts and obligations. If you have questions or concerns about dissolving your LLC, it is recommended that you seek advice from a licensed attorney. Additionally, you may need to obtain a final tax clearance certificate from the Georgia Department of Revenue before dissolving the LLC, depending on the circumstances.
