# What is the process of forming a limited liability company (LLC) in Texas?

To form a limited liability company (LLC) in Texas, one must follow the below steps:

1. Choose a business name: The business name chosen should be unique and not infringe on any existing trademarks. Additionally, it should include “LLC” or “Limited Liability Company” at the end.
2. Appoint a registered agent: A registered agent is a person or entity designated to accept legal documentation on behalf of the company. The agent must be located in Texas.
3. File a Certificate of Formation: The Certificate of Formation needs to be filed with the Texas Secretary of State’s office. This includes the following information: business name, registered agent, the purpose of the company, and other relevant details.
4. Create an LLC operating agreement: Although this isn’t a legal requirement, it is recommended to have an operating agreement in place. This document outlines the structure of the company, the roles and responsibilities of members, and the distribution of profits and losses.
5. Obtain necessary licenses and permits: Depending on the type of business, one may need to obtain specific licenses and permits.
6. Register for state taxes: The company must register with the Texas Comptroller of Public Accounts and obtain any necessary tax ID numbers.
