Choose a Name: Choose a unique and distinguishable name for your LLC that does not violate any trademark or intellectual property laws. The Secretary of State's office provides a database of available names on their website. 2. File Articles of Organization: File Articles of Organization with the Secretary of State's office. You can do this online or by mail, and the fee is $70. These articles must include the LLC's name and address, the registered agent's name and address, and the purpose of the LLC. 3. Obtain an EIN: Obtain an Employer Identification Number (EIN) from the Internal Revenue Service (IRS). This is essentially a Social Security number for your business, which is necessary for tax purposes. You can apply for an EIN online for free. 4. Create an Operating Agreement: Although not required by California law, creating an Operating Agreement is strongly recommended. This document outlines internal rules and procedures for the LLC, including how profits will be divided among members, how decisions will be made, and what happens if a member leaves the LLC or the LLC dissolves. 5. Register for state and local taxes: Depending on the nature of your business, you may be required to register for state and/or local taxes. This can include sales tax, payroll taxes, and employment taxes. 6. Obtain any necessary permits or licenses: Depending on your line of business, you may be required to obtain permits or licenses from state or local agencies. Check with your city or county for specific requirements. Limitations or exceptions to this advice may depend on the nature of your business and local regulations. Further action may be required if you have employees, if you plan to operate in multiple states, or if you expect the LLC to generate significant income. It is always recommended to consult with a licensed attorney before taking any legal action or making any legal decisions.
