One of the main requirements is filing a Certificate of Formation with the Texas Secretary of State, which must contain certain information such as the name of the LLC, purpose, and a designated agent for service of process within the state of Texas. This certificate must be accompanied by the appropriate filing fee. In addition, Texas law requires that LLCs adopt an operating agreement, which is a document that outlines how the company will operate, including the allocation of profits and losses, decision-making processes, and procedures for adding or removing members.
