The following are the legal requirements that need to be fulfilled to launch a new business in Ohio: 1. Name Reservation: The first step is to reserve your business name with the Ohio Secretary of State's Office. You need to submit a name reservation application and pay a $39 fee to reserve your desired business name for 180 days. 2. Business Structure: Choose the right business structure and register it with the Ohio Secretary of State's Office. Ohio recognizes several types of business structures that include but are not limited to Sole Proprietorship, Partnership, Limited Partnership, Limited Liability Company (LLC), and Corporation. 3. Business License and Registration: Depending on the type of business and the location, you may need to obtain certain licenses and permits from the county or city government. Also, you need to register your business with the Ohio Secretary of State's Office. 4. Tax Identification Numbers: Obtain Federal Tax Identification Number (TIN) from the Internal Revenue Service (IRS) and an Ohio Tax Identification Number from the Ohio Department of Taxation. 5. Employment and Labor Laws: Comply with federal and state employment and labor laws. These include the Fair Labor Standards Act (FLSA), Family, and Medical Leave Act (FMLA), and Ohio Minimum Wage Law. 6. Business Contracts: Prepare and execute legally binding contracts that include employee contracts, lease agreements, partnership agreements, service agreements, and non-disclosure agreements. It is important to note that each business is unique, and the requirements can vary depending on the nature of the business. Therefore, it is advisable to seek legal counsel for further advice and guidance specific to your business needs.
