# What are the basic requirements for forming a limited liability company (LLC) in Georgia?

In order to form a limited liability company (LLC) in Georgia, there are several basic requirements that must be met. These requirements include:

1. **Name Reservation:** First, the proposed name of the LLC must be reserved with the Georgia Secretary of State to ensure that it is not already in use by another company. This can be done online through the Georgia Secretary of State's website.
2. **Articles of Organization:** Next, articles of organization must be filed with the Georgia Secretary of State's office. This document includes basic information about the LLC, such as its name, address, registered agent, and the names and addresses of its members.
3. **Registered Agent:** Every Georgia LLC must appoint a registered agent who can accept legal documents on behalf of the company. The registered agent must have a physical address in Georgia and be available during normal business hours.
4. **Operating Agreement:** While not required by Georgia law, it is recommended that an LLC have an operating agreement that outlines the rights and responsibilities of its members, as well as how the company will be managed.
5. **Business Licenses and Permits:** Depending on the type of business and industry, additional licenses and permits may be required at the state and local level.

It is important to note that while forming an LLC in Georgia is relatively straightforward, there may be additional legal requirements or restrictions depending on the nature of the business.
